Terms of Service

These Terms of Service apply to registration and use of the URLRadar platform operated by SEO-DAY GmbH.

By registering for and using URLRadar, you accept these terms and conditions. Conflicting or supplementary terms and conditions of the user shall not become part of the contract, unless their applicability is expressly agreed to in writing.

URLRadar is a Software-as-a-Service (SaaS) offering for automated monitoring of websites and URLs.

The service includes in particular:

• Regular, automated checks of URLs added by the user (e.g. HTTP status code and time-to-first-byte)
• Email notifications when configured target values are not met
• Management of quick checks and content checks through the application
• Programmatic creation of checks via the API (where enabled for the user)

By accepting these Terms of Service, you expressly confirm: (1) You assume sole responsibility for all settings you configure in URLRadar – including added URLs, check limits (e.g. TTFB), expected title and canonical values, and use of your API key. (2) You are authorized to have the websites and URLs you add monitored automatically, and you grant URLRadar permission to access and check these pages regularly and automatically as part of the service.

Registration for URLRadar is completed via the SEO-DAY GmbH website or the sign-up options offered there.

By completing registration, the user makes a binding offer to use the URLRadar platform. The usage contract is concluded when SEO-DAY GmbH activates or confirms the registration.

SEO-DAY GmbH reserves the right to reject registrations without giving reasons. Any fees already paid will be refunded immediately in that case.

All prices are quoted in euros and include the statutory value-added tax, unless otherwise stated.

Where URLRadar is offered in a free beta or community phase, no fees apply for use during that period unless otherwise stated.

For paid plans, payment is due after invoicing unless a different payment period has been agreed. In case of late payment, default interest at a rate of 9 percentage points above the base rate may be charged.

The user may only offset with undisputed or legally established claims.

The user may stop using URLRadar at any time and request deletion of the account. Receipt of the notice by SEO-DAY GmbH is decisive.

SEO-DAY GmbH may terminate the usage contract for cause, in particular in case of abusive use, breach of these terms, or abusive load on the infrastructure.

Upon termination, access to checks, histories and API features ends; statutory retention obligations remain unaffected.

SEO-DAY GmbH reserves the right to suspend or discontinue the service temporarily or permanently (e.g. maintenance, force majeure or discontinuation of the offering). For paid use, prepaid amounts will be refunded pro rata where legally required. No further claims exist.

SEO-DAY GmbH is fully liable for intent and gross negligence as well as in accordance with the Product Liability Act.

In case of slight negligence, SEO-DAY GmbH is only liable in case of violation of an essential contractual obligation, the fulfillment of which makes the proper execution of the contract possible in the first place and on the compliance with which the user may regularly rely (cardinal obligation). In this case, liability is limited to the foreseeable, typically occurring damage.

The above liability limitations do not apply in case of injury to life, body or health. Liability under the Product Liability Act remains unaffected.

URLRadar provides monitoring results to the best of its ability; SEO-DAY GmbH does not guarantee complete detection of all outages or the availability of third-party websites. The user remains responsible for their own systems and content.

SEO-DAY GmbH collects and processes personal data in the context of registration for and use of the URLRadar platform.

All content provided by SEO-DAY GmbH via the URLRadar platform (texts, graphics, software interface, trademarks) is protected by copyright.

The reproduction, distribution, public access or other use of this content requires the prior written consent of SEO-DAY GmbH or the respective rights holder.

URLs and related data added by the user remain the responsibility of the user. Using the platform to infringe third-party rights is prohibited.

SEO-DAY GmbH reserves the right to change these terms and conditions at any time. Changes will be published on the website.

For existing usage relationships, the terms valid at the time of the respective use apply, unless the user expressly objects to the changed terms and continues use where legally permitted.

German law applies, excluding the UN Sales Law and the EC Sales Law.

Place of performance and jurisdiction for all disputes arising from this contractual relationship is, insofar as the user is a merchant, legal entity under public law or special fund under public law, the registered office of SEO-DAY GmbH in Leverkusen.

Should individual provisions of these terms and conditions be or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid provision.

No oral side agreements exist. Changes and additions to these terms and conditions require written form. This also applies to the waiver of this written form clause.
